1. Acceptance of Terms

Hy-Worth (the "Service") is operated by Hy-Worth by Zorian Inc. ("we", "us", "our"), a Canadian company with registered address at Suite 284, 162-2025 Corydon Avenue, Winnipeg, MB R3P 0N5, Canada. By creating an account or using the Service, you agree to be bound by these Terms of Service. If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

Hy-Worth is a personal finance tracking and planning platform available at hy-worth.com. The Service provides tools for net worth tracking, budgeting, financial planning, real estate analysis, investment performance benchmarking, cash flow forecasting, and related financial management features. Hy-Worth is an informational tool and does not constitute financial advice.

3. User Accounts and Responsibilities

To use the Service, you must create an account. You agree to:

• Provide a valid email address and accurate information when creating your account.
• Maintain the confidentiality and security of your account credentials. You are solely responsible for all activity that occurs under your account.
• Notify us immediately at privacy@hy-worth.com if you suspect unauthorized access to your account.
• Be at least 18 years of age to use the Service.
• Ensure that the financial data you enter is your own or that you have authorization to manage it.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful or fraudulent purpose.
• Attempt to gain unauthorized access to other users' data or accounts.
• Interfere with, disrupt, or place an undue burden on the Service or its infrastructure.
• Use automated means (bots, scrapers, crawlers) to access the Service without prior written permission.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Transmit any viruses, malware, or other harmful code through the Service.
• Resell, redistribute, or commercially exploit the Service or any data obtained from it without our express written consent.

5. Intellectual Property

The Service, including its design, code, features, text, graphics, logos, and overall look and feel, is owned by Hy-Worth by Zorian Inc. and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

You retain full ownership of the financial data you enter into the Service. By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.

6. Disclaimer of Warranties — Not Financial Advice

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Hy-Worth is a personal finance tracking and organisation tool. It does not provide financial advice, investment advice, tax advice, or any regulated financial services. Nothing in this platform constitutes a recommendation to buy, sell, or hold any security or investment. Always consult a qualified financial advisor before making financial decisions.

We do not guarantee the accuracy, completeness, or timeliness of any data, including foreign exchange rates, benchmark indexes, or any computed metrics. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Hy-Worth by Zorian Inc., its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of (or inability to use) the Service, including but not limited to:

• Financial losses based on data, projections, or calculations provided by the Service.
• Loss of data, profits, or business opportunities.
• Errors or inaccuracies in any content or computations.
• Unauthorized access to or alteration of your data, except where caused by our gross negligence.

In no event shall our total aggregate liability exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim.

8. Privacy

Your privacy is important to us. Your use of the Service is also governed by our Privacy Policy, which describes how we collect, store, and use your data. By using the Service, you consent to the practices described in the Privacy Policy.

9. Termination

You may delete your account at any time from the Settings page. Upon deletion, all your data is permanently and irreversibly removed from our systems.

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service, its users, or third parties. We will make reasonable efforts to notify you before any termination, except in cases of severe or repeated violations.

10. Subscription and Billing

Hy-Worth offers two tiers: a Free tier with basic tracking features, and a Pro tier with advanced planning, real estate, alternatives, and reconciliation modules. Pro is available on monthly or annual billing in USD, CHF, or CAD.

All payments are non-refundable. You may cancel your subscription at any time. Upon cancellation, you will retain access to Pro features until the end of your current billing period, after which your account will revert to the Free tier. Your data is always retained — Pro-only data remains accessible read-only on the Free tier and is re-enabled fully if you resubscribe.

We reserve the right to change pricing for future billing periods with at least thirty (30) days' notice via email. Existing paid subscriptions remain at the current price through the end of their term.

11. Indemnification

You agree to indemnify and hold harmless Hy-Worth by Zorian Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or any decisions you make based on the outputs, calculations, or projections provided by the Service. You acknowledge that the Service is a tracking tool and does not provide financial, investment, tax, or legal advice.

12. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you via the email address associated with your account and update the "Last updated" date at the top of this page. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Manitoba, Canada. Any disputes shall be submitted to the competent courts of Manitoba, Canada.
